On December 18, 2023, Jonjae Law Firm hosted a seminar titled 'Directions for Valuing Unlisted Stocks, a Frequent Issue in Property Division in Family Litigation' by inviting CPA Choi Han-jin, Vice President of Dayul Accounting Corporation, the firm’s corporate advisory accountant.

 

Why Unlisted Stock Valuation Now

Among the property division cases recently filed in family court, cases in which 'unlisted stocks' become an issue are clearly increasing. Because unlisted stocks do not have a market price, the amount of property subject to division can vary from tens of billions of won to trillions of won depending on how their value is calculated.

Attorney-in-charge Yoon Ji-sang, who selected the topic for the day, stated, "In recent years, claims for property division involving unlisted stocks have increased, and many lawsuits are actually ongoing," adding, "Lawyers need to carefully assess and review the value of such assets in order to respond to the other party's defense and the court's judgment."

In particular, as in the Smilegate divorce litigation in which Jonjae Law Firm is participating as counsel for the plaintiff, there are increasing cases where the valuation of shares in unlisted holding companies becomes the central issue in a lawsuit. This seminar was planned out of that need on the ground.

 

A Practical Forum Created by Lawyers and Accountants Together

This seminar was a forum to present research findings on the valuation of unlisted stocks, which have recently become an issue in divorce and inheritance property division. Through Vice President CPA Choi Han-jin, we examined the latest trends in the legal community, shared practical know-how, and spent time reviewing and considering the various legal issues arising in family litigation together.

Attorneys from Jonjae Law Firm’s Divorce·Inheritance Law Center attended the seminar. We focused on discussing the differences between various valuation methods, such as the discounted cash flow method(DCF), valuation under the Inheritance and Gift Tax Act, and the net asset value method, as well as practical application points.
